Terms and Conditions

1) Overview & Acceptance

These Terms & Conditions (the "Terms") govern all quotes, orders, sales, repairs, and services provided by BarcodeSource, Inc. ("BarcodeSource," "we," "us," or "our"). By placing an order, submitting a purchase order, accepting a quote, using our website/store, or authorizing a repair or service, you agree to these Terms. If you are acting on behalf of a business, you represent that you have authority to bind that entity. Our sales are business‑to‑business (B2B).

2) Products & Services

We supply stock and custom thermal labels, thermal printers and scanners, label design software, and related support and repair services. Any statements about compatibility, performance, or use are for guidance only; you are responsible for evaluating suitability for your application unless otherwise agreed in writing.

3) Quotes, Orders & Cancellations

  • Quotes are valid for the period shown (or 30 days if not stated) and are subject to availability and pricing at the time of acceptance.

  • Orders may be placed via our website, purchase order, or written confirmation. An order is accepted when we issue an order confirmation.

  • Changes/Cancellations. Stock orders may be changed or cancelled prior to shipment at our discretion. Custom/manufactured items are non‑cancellable and non‑returnable (NCNR) once you approve artwork/specs or we begin production.

  • Minimums. We may apply minimum order values or quantities on certain items.

4) Pricing, Taxes & Errors

  • Prices are shown in U.S. dollars unless noted and exclude taxes, shipping, duties, and fees.

  • You are responsible for all applicable sales/use taxes. Provide a valid resale/exemption certificate before order placement if applicable.

  • We strive for accuracy but reserve the right to correct clerical or typographical errors in quotes, confirmations, invoices, or on our site. If an error materially affects your order, we will notify you to reconfirm or cancel.

5) Payment Terms

  • Prepay/Credit Card/ACH at checkout or per invoice terms. On approved credit, standard terms are Net 30 from invoice date unless otherwise stated.

  • Late balances may accrue the lesser of 1.5% per month or the maximum allowed by law. You agree to pay reasonable costs of collection, including attorneys’ fees, for past‑due balances.

  • We may hold shipments or suspend services for overdue accounts and may require prepayment or security at any time.

6) Shipping, Title & Risk of Loss

  • Unless otherwise agreed, shipments are FOB Origin (shipping point). Title and risk of loss pass to you upon carrier’s receipt.

  • Shipping dates are estimates. We are not liable for delays beyond our reasonable control (see Force Majeure).

  • Inspection/Claims. Inspect shipments promptly: report shortages or visible damage on the carrier receipt and notify us within 5 business days of delivery; concealed damage must be reported within 10 business days. Keep packaging for carrier inspection.

7) Returns & RMAs

  • Stock items: Unused, resalable items may be returned within 30 days of delivery with a Return Merchandise Authorization (RMA). A 20% restocking fee may apply; shipping is non‑refundable.

  • Non‑returnable: Custom labels and other NCNR items, opened software, used/installed parts, and items not in original condition.

  • Obtain an RMA at [returns email or portal]. Items returned without an RMA or after the return window may be refused.

8) Custom & Manufactured Goods

  • Specifications & Proofs. You are responsible for reviewing and approving proofs/specs (including label size, core size, adhesive, face stock, layout, variable data, barcodes/QR codes). Production will not begin until approvals are received.

  • Industry tolerances apply (e.g., ±1/16 in (1.6 mm) on dimensions; ±10% over/under on final quantity; minor color variation due to materials/press conditions). We invoice the actual quantity shipped.

  • Customer‑supplied content (artwork, data) must be accurate and lawful. You warrant that you own or have rights to use all content and you indemnify us for third‑party claims arising from such content.

  • Remedies. For defects caused by us, your exclusive remedy is repair, replacement, or reprint of the nonconforming portion, at our option.

9) Repairs & Services

  • Estimates & Authorization. Diagnostics may incur a fee. We will not proceed with repair without your approval unless you authorize a cost cap.

  • Repair Warranty. Parts and labor provided by BarcodeSource for a repair are warranted for 90 days from shipment/pickup against defects in workmanship; OEM part warranties may vary. Damage from misuse, neglect, improper installation, or external causes is excluded.

  • Unclaimed Equipment. Items left unclaimed 60 days after completion may incur storage fees or be disposed of in accordance with applicable law after notice.

10) Warranties & Disclaimers

  • OEM products: Covered by the original manufacturer’s warranty, if any. We pass through applicable OEM warranties to you.

  • BarcodeSource warranty: For stock items we sell under our brand, we warrant they conform to our specifications at shipment.

  • DISCLAIMERS: EXCEPT AS EXPRESSLY SET FORTH HEREIN, PRODUCTS AND SERVICES ARE PROVIDED “AS IS” WITHOUT ADDITIONAL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST PRODUCTION, OR BUSINESS INTERRUPTION), EVEN IF ADVISED OF THE POSSIBILITY; AND (B) A PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO AN ORDER SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO BARCODESOURCE FOR THE SPECIFIC PRODUCTS/SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT.

12) Compliance; Export; Sanctions

You will comply with all applicable laws, including export control and sanctions laws of the U.S. and other jurisdictions. Products may not be used for prohibited end uses. You will not resell to sanctioned parties or destinations.

13) Software & Intellectual Property

  • Software/EULAs. Any software (including label design software or firmware) is licensed, not sold, and is subject to the applicable end user license agreement (EULA) of BarcodeSource or the OEM.

  • Content & Site Materials. Site content is owned by BarcodeSource or its licensors. No license is granted except as necessary to place orders and use the site.

  • Feedback. We may use feedback you provide to improve our products/services without obligation.

14) Indemnification

You agree to indemnify, defend, and hold harmless BarcodeSource and its affiliates, officers, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your misuse of products or services; (b) your breach of these Terms; or (c) content or specifications you supply for custom work.

15) Privacy

Our Privacy Policy describes how we collect and use information. It is incorporated by reference. See Privacy Policy .

16) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including supply disruptions, labor issues, acts of God, epidemics, wars, government actions, carrier delays, or utility failures. Time for performance is extended for the duration of the event.

17) Governing Law; Venue

These Terms, and any dispute not subject to a separate written agreement, are governed by the laws of Illinois, without regard to conflicts‑of‑law rules. The exclusive venue and jurisdiction are the state and federal courts located in DuPage, Illinois. You consent to such jurisdiction and venue. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

18) Changes to Terms

We may update these Terms from time to time. The “Last updated” date shows the latest revision. Changes apply to orders placed after the effective date unless otherwise required by law.

19) General

  • Entire Agreement. These Terms, together with our order confirmation and any signed agreement, are the entire agreement regarding your order and supersede conflicting preprinted PO terms unless expressly accepted in writing by BarcodeSource.

  • Severability. If any provision is unenforceable, the remainder remains in effect.

  • No Waiver. Our failure to enforce a provision is not a waiver.

  • Assignment. You may not assign without our prior written consent; we may assign to an affiliate or in connection with a business transaction.
